Terms of Service

1. Acceptance of Terms

By accessing our website, engaging our services, or entering into any agreement with Global Solidarity Foundation C.I.C. trading as Circular Design (“Company,” “we,” “us,” or “our”), you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our services.

2. Services Provided

We provide website creation and website maintenance services, including but not limited to:

  • Custom website design and development
  • Website maintenance and updates
  • Ongoing technical support
  • Content management
  • Performance optimization and SEO
  • Security monitoring and updates
  • Web accessibility compliance services (WCAG guidelines)
  • Sustainable and eco-friendly hosting solutions
  • Specialised support for charities and social enterprises

3. Service Agreements and Payment Terms

3.1 Project Scope

All projects begin with a detailed scope of work that outlines deliverables, timelines, and costs. Changes to the original scope may result in additional charges.

3.2 Payment Terms

  • Payment schedules will be specified in individual project agreements
  • Invoices are due within 30 days of receipt unless otherwise specified
  • Late payments may incur charges as permitted by the Late Payment of Commercial Debts (Interest) Act 1998
  • Services may be suspended for accounts more than 30 days past due
  • All prices include VAT where applicable at the current UK rate
  • Discounted rates may be available for registered charities and social enterprises

3.3 Refund Policy

  • Refunds are considered on a case-by-case basis
  • Work completed in good faith is generally non-refundable
  • Hosting and third-party service fees are non-refundable

4. Client Responsibilities

4.1 Content and Materials

  • You are responsible for providing accurate, complete, and timely content
  • You warrant that all content provided does not infringe on third-party rights
  • You grant us a non-exclusive license to use provided materials for project completion
  • You are responsible for maintaining backups of your content

4.2 Cooperation

  • Timely response to requests for information, feedback, and approvals
  • Providing necessary access to hosting accounts, domain registrars, and third-party services
  • Testing and approval of deliverables within agreed timeframes

5. Intellectual Property

5.1 Ownership

  • Upon full payment, you own the custom website design and content you provided
  • We retain rights to our proprietary development methods, tools, and pre-existing code
  • Third-party components remain subject to their respective licenses

5.2 Portfolio Rights

We reserve the right to display completed projects in our portfolio and marketing materials unless otherwise agreed in writing.

6. Website Maintenance Services (Care Plans)

6.1 Care Plans

  • Maintenance services are provided on a subscription basis
  • Services typically include updates, backups, security monitoring, and technical support
  • Specific inclusions and limitations are detailed in maintenance agreements. If no further agreements are made, the overall Terms of Service apply to all maintenance plans.  

6.2 Uptime and Performance

  • We strive for maximum uptime but do not guarantee 100% availability
  • Scheduled maintenance may cause temporary service interruptions
  • We are not responsible for downtime caused by third-party services or hosting providers

7. Accessibility and Compliance Services

7.1 Accessibility Compliance

When accessibility compliance services are explicitly requested and agreed upon:

  • We will endeavour to meet relevant WCAG (Web Content Accessibility Guidelines) standards as specified in the project scope
  • Accessibility compliance is an ongoing process that may require regular updates and testing
  • We recommend periodic accessibility audits to maintain compliance over time
  • Clients remain responsible for ensuring ongoing compliance after project completion

7.2 Compliance Limitations

  • We are not liable for accessibility compliance issues arising from client-provided content or third-party integrations
  • Accessibility standards may change over time, and ongoing compliance may require additional services

8. Limitation of Liability

8.1 Service Limitations

  • Our services are provided “as is” without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount you paid for the specific service

8.2 Sustainable Hosting

  • Sustainable hosting solutions are provided through carefully selected third-party providers
  • We cannot guarantee the environmental impact claims of hosting providers beyond our reasonable due diligence
  • Environmental benefits are estimates based on provider information and industry standards

8.3 Third-Party Services

We are not responsible for the performance, availability, or security of third-party services, including but not limited to hosting providers, domain registrars, or payment processors.

9. Termination

9.1 Termination by Either Party

Either party may terminate services with 30 days written notice, subject to completion of work in progress and payment of outstanding balances.

9.2 Immediate Termination

We reserve the right to immediately terminate services for:

  • Non-payment of invoices
  • Violation of these Terms
  • Illegal or harmful use of our services
  • Abusive behavior toward our staff

10. Confidentiality

We maintain strict confidentiality regarding your business information and will not disclose confidential information to third parties without your consent, except as required by law.

11. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, electricity cuts, government actions, or technical failures of third-party services.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.

12.2 Dispute Process

Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales. We encourage resolution through direct communication first.

13. Privacy and Data Protection

We collect and process personal information in accordance with our Privacy Policy and UK GDPR requirements. We implement appropriate technical and organisational security measures to protect your data. You have rights regarding your personal data under UK data protection law, including rights of access, rectification, and erasure.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Significant changes will be communicated via email or website notice. Continued use of our services after changes constitutes acceptance of modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, along with any signed agreements and our Privacy Policy, constitute the entire agreement between you and Global Solidarity Foundation C.I.C. trading as Circular Design.
